The Class Edit LLC

Terms of Service

Effective date: October 12, 2026

These Terms of Service govern your use of The Class Edit mobile application, websites, software, and related services, collectively the Service. Your agreement is with The Class Edit LLC, referred to below as The Class Edit, we, us, or our.

PLEASE READ SECTION 16. IT REQUIRES INDIVIDUAL ARBITRATION OF MOST DISPUTES AND LIMITS CLASS PROCEEDINGS, SUBJECT TO THE EXCEPTIONS EXPLAINED THERE. YOU MAY OPT OUT WITHIN 30 DAYS AS DESCRIBED IN THAT SECTION.

1. Acceptance

By selecting an acceptance control presented with these Terms, creating an account after being given notice of these Terms, or otherwise using the Service after receiving legally sufficient notice and an opportunity to review them, you agree to be bound by them. If you do not agree, do not use the Service. If you act for a business, you must have authority to bind it, and references to you include that business where appropriate.

Our Privacy Policy explains how we process personal information. Acknowledging that policy does not replace any consent that the law requires us to obtain separately. Our Waitlist Notice governs the information submitted through the website waitlist. Joining that waitlist does not create an app account, purchase a subscription, or enroll you in a newsletter.

The Class Edit helps fitness professionals create, import, organize, time, review, back up, and share class plans. Features depend on your version, device, account, and plan. We are not a fitness studio, healthcare provider, training organization, or certification body.

2. License to use the app

Subject to these Terms and payment of applicable charges, we grant you a limited, nonexclusive, nontransferable license to install and use the application on devices you own or control and to access the Service for your personal class planning or your own professional teaching work. This includes using your plans to teach paid classes. It does not permit you to resell access to the Service, sublicense our software, or make your account available as a service to others.

The license lasts while these Terms remain in effect and may be suspended or terminated under Section 13. Applicable open source licenses govern components distributed under those licenses. Section 14 contains additional terms for app store downloads.

3. Eligibility and accounts

You must be at least 18 years old and legally capable of entering this agreement. You must provide accurate account information, keep your login credentials secure, and promptly report suspected unauthorized access to support@theclassedit.com. You are responsible for activity you authorize through your account. Nothing here makes you responsible for a security failure attributable to us where the law places that responsibility on us.

We do not verify or certify your qualifications, credentials, insurance, employment, or authority to teach. You are responsible for the professional requirements applicable to your work.

Some features may work without an account. Information held only on your device can be lost if you uninstall the app, clear its data, lose the device, or cannot access its storage. Keep separate copies of important materials. Creating an account does not by itself mean that every item on your device has been backed up.

4. Subscriptions pricing and billing

Certain features may require a purchase or subscription. The purchase screen must identify the price, currency, billing interval, applicable taxes, included features, usage limits, renewal terms, and any trial or introductory offer before you authorize a charge. We will obtain any separate consent required for recurring billing. These Terms alone do not authorize us to charge you.

If the offer states that a subscription renews automatically, it renews for the stated billing period at the disclosed price unless canceled in time under the purchase terms. A trial converts to a paid subscription only on the terms disclosed when you enroll. Review the trial expiration date and cancellation deadline shown at enrollment.

For an Apple or Google purchase, manage cancellation through the subscriptions settings of the account used to buy it. For a purchase made directly from us, use the cancellation method identified at checkout or contact support@theclassedit.com for assistance. We will provide any online or other cancellation method required by law. Canceling generally stops future renewal charges and leaves access in place until the end of the paid period, unless the offer, a refund, or applicable law requires otherwise.

Deleting the app or your account does not necessarily cancel a subscription held by an app store. Cancel that subscription separately. Refund requests for app store purchases must be submitted through the applicable store when it controls the refund. Other refund requests may be sent to us. Payments are nonrefundable except where the offer, store rules, or law provides otherwise. This does not limit rights relating to unauthorized charges, defective services, withdrawal, or other mandatory remedies.

We may change prices or subscription features for future periods after giving the notice and obtaining the consent required by law and applicable store rules. A change does not retroactively increase charges for a period already purchased. We will provide required renewal, trial, price change, and cancellation notices. If payment fails, we may restrict paid features after any notice or opportunity to correct the payment required by law.

5. Your content and photographs

Ownership and permission

User Content means the plans, routines, movement selections, sequences, timing, transitions, teaching notes, equipment notes, templates, photographs, files, and other material you create or submit through the Service. As between you and us, you retain the rights you have in that material. Neither uploading material nor receiving an automated output creates ownership rights that the law does not recognize.

You grant us a nonexclusive, worldwide, royalty-free license to host, store, reproduce, process, format, transmit, and display User Content only as reasonably necessary to provide the features you request, maintain and secure the Service, diagnose technical problems, prevent abuse, and comply with law. We may allow our service providers to exercise those rights only for those purposes. This license does not authorize selling your private plans, using them in public marketing, or training a general-purpose AI model on them without your separate permission.

The license ends when the relevant content is removed from our systems, except to the extent necessary for lawful retention, routine backup deletion, resolving a dispute, or completing sharing you already requested. Copies already received by other people may remain with them. Our Privacy Policy describes retention and deletion in more detail.

You must have the rights needed to upload, process, and share your content. Studio programming, course materials, paid manuals, photographs, and work created for an employer may belong to someone else or be subject to confidentiality restrictions. We do not decide ownership disputes between you and those parties.

Live Reading and Refine Flow

When you use Live Reading, a compressed copy of each selected photograph and your accompanying instructions are sent through our server to OpenAI for processing. Refine Flow sends the class details needed to generate suggestions. Our requests disable stored AI responses. This setting does not eliminate provider abuse-monitoring retention. OpenAI may retain request and response content for up to 30 days, with exceptions for legal requirements or safety review, including review of images flagged for potential child sexual abuse material. Deleting a page or account does not immediately erase those provider records.

Your original photographs remain on your device. They are not included in your class-plan cloud backup or automatically included when you share a plan. Extracted text and resulting class-plan information may be stored in your account when you use cloud backup. Review photographs before submitting them and remove information that should not be sent for processing.

Automated reading and suggestions can contain omissions, invented details, incorrect timing, or unsuitable movement combinations. Review and correct the result before teaching from it. We do not promise that generated material is unique, copyrightable, or free of third-party rights. As between you and us, we do not claim ownership of your resulting class plan.

Backup and sharing

Cloud backup may preserve class titles, sections, movements, sequences, timing, transitions, and teaching or equipment notes. It does not guarantee recovery in every circumstance. Keep your own copies of important work.

When you share a plan, you authorize the transmission or access needed to complete that request. Recipients may save, copy, change, screenshot, or redistribute it. Removing your own copy does not necessarily remove theirs. Check the plan and the intended recipient before sharing.

6. Images and information about other people

The Service is intended for class planning, not recording participants or maintaining client records. These Terms do not authorize you to record anyone. If a photograph or other material you submit includes another person, their voice, image, personal information, or private communications, you must have all permissions and other legal authority required to capture, upload, process, and share that material. Permission to attend or teach a class does not itself establish those rights.

Do not submit covert recordings, material captured in private spaces without permission, or identifiable participant health information. If recording functionality is introduced, additional disclosures and any necessary consent must be provided before it is used. Agreeing to these Terms is not consent on behalf of another person.

7. Third party services

We use providers for functions such as hosting, authentication, storage, AI processing, and payments. Our Privacy Policy explains related information processing. An independent service you choose to use may have its own terms, fees, and privacy practices. You must comply with applicable third-party terms, including your mobile service agreement.

Third-party outages or changes can affect available features. We do not control independent services or endorse third-party material merely by linking to it. This provision does not remove responsibilities we have under law for our own Service or providers acting on our behalf.

Unless we expressly state otherwise, The Class Edit is independent of fitness studios, equipment manufacturers, training organizations, and certification providers. References to disciplines, equipment, movements, and teaching styles describe the planning tools and do not imply affiliation or endorsement.

8. Acceptable use

You may not use the Service to violate law; infringe intellectual property, confidentiality, privacy, or publicity rights; impersonate another person; misrepresent a qualification or affiliation; threaten or harass someone; distribute unlawful material or malicious code; access another person's account without permission; interfere with security or availability; or evade payment, access restrictions, or usage limits.

You may not scrape protected parts of the Service, resell access, remove proprietary notices, or reverse engineer the software except to the extent applicable law gives you a right that cannot be restricted by contract. Restrictions on copying our software do not prevent lawful use of your own content, public-domain material, or unprotected fitness concepts.

Do not upload identifiable diagnoses, injuries, medications, pregnancy information, medical histories, treatment records, biometrics, insurance information, or other confidential health information about participants. Avoid unnecessary participant names or contact details. The Service is not a healthcare record system and is not offered as a HIPAA-compliant repository for protected health information.

9. Our intellectual property and copyright complaints

We or our licensors own the software, interface, branding, graphics, original written materials, and other protected elements of the Service. Except for the license in Section 2, these Terms do not transfer those rights. We do not claim exclusive rights in common movement names, exercise concepts, publicly known sequences, or third-party materials merely because they appear in the app.

If you voluntarily send product suggestions, you permit us to use them without compensation. That permission covers the suggestions themselves, not private class plans or personal information included with them.

Send copyright complaints to The Class Edit LLC, Copyright Complaints, 2214 Mill Road, Ronkonkoma, NY 11779, or support@theclassedit.com. Identify the copyrighted work, the material you believe infringes it, where we can find it, and your contact details. Include your signature, a statement of your good-faith belief that the use is unauthorized, and a statement that the notice is accurate and, under penalty of perjury, that you are authorized to act for the rights holder. We may request additional information, restrict access to disputed material, notify the submitting user, and address counter-notices under applicable law. We may terminate repeat infringers in appropriate circumstances.

10. Professional responsibilities and disclaimers

You are responsible for the instruction you provide and the plans you choose to implement. This includes your qualifications, equipment setup and maintenance, supervision, spotting, emergency procedures, insurance, studio requirements, participant readiness, contraindications, and appropriate modifications, progressions, and regressions. The Service does not assess individual participants or supervise classes.

Exercise can cause strains, falls, equipment injuries, serious injury, disability, or death. You must exercise independent professional judgment. A movement, timing suggestion, equipment setting, or sequence appearing in the Service is not a safety assessment or certification. This paragraph does not release claims held by participants or waive liability that cannot lawfully be excluded.

Nothing in the Service provides medical advice, diagnosis, treatment, physical therapy, rehabilitation, or individualized healthcare guidance. Use does not create a clinical or instructor-participant relationship between us and you or your participants. Questions about an individual's ability to exercise should be referred to an appropriately qualified healthcare professional.

TO THE EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION, ACCURATE AUTOMATED OUTPUT, COMPLETE SECURITY, RECOVERY OF LOST DATA, OR THE SAFETY OF A PLAN OR MOVEMENT.

These disclaimers do not override an express promise we make to you, mandatory warranties, or rights the law does not allow us to exclude.

11. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, THE CLASS EDIT AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR DATA, ARISING FROM THE SERVICE OR THESE TERMS.

SUBJECT TO THE EXCEPTIONS BELOW, OUR TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID FOR THE SERVICE, INCLUDING THROUGH AN APP STORE, DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE LEGAL THEORY AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF THE LOSS.

These exclusions and limits do not apply to our fraud, willful misconduct, gross negligence, or any liability that applicable law prohibits us from excluding or limiting. They do not restrict mandatory consumer remedies. We are not responsible for an instructor's independent conduct merely because the instructor used the Service, but nothing here excludes our own liability where doing so would be unlawful.

12. Indemnification

To the extent permitted by law, you will indemnify and defend The Class Edit and its officers, employees, and agents against third-party claims, damages, and reasonable legal costs to the extent caused by your unlawful content, infringement of another person's rights, material breach of these Terms, or negligent or wrongful professional instruction. This obligation does not cover the portion of a claim caused by our breach, negligence, or misconduct, or a claim for which indemnification is prohibited by law.

We will give prompt notice of a claim, although delayed notice reduces your obligation only to the extent it materially prejudices the defense. You may control the defense using reasonably qualified counsel, and we may participate at our expense. We will provide reasonable cooperation at your expense. You may not settle a claim in a way that admits fault by us, imposes a nonmonetary obligation on us, or fails to release us without our written consent, which we will not unreasonably withhold. We may take over the defense at our expense if reasonably necessary to address a conflict of interest.

13. Suspension termination and deletion

You may stop using the Service at any time and request account deletion through available in-app controls or by emailing support@theclassedit.com. Subscription cancellation is addressed in Section 4.

We may restrict access when reasonably necessary to address a material breach, unlawful conduct, nonpayment, infringement, or a legal or security risk. Where practical and appropriate, we will explain the reason and allow a reasonable opportunity to correct it. Immediate action may be necessary to protect people, data, or the Service, or to comply with law. You may contact us to ask for review of a restriction.

We may discontinue the Service or a feature after reasonable notice where practicable. If we end prepaid access without your material breach, we will provide an appropriate refund for the unused period, subject to applicable law and the purchasing platform's refund process. Where reasonably possible, we will give you an opportunity to retrieve your plans before permanent closure.

Following a verified account-deletion request, we remove your account and associated cloud-backed class-plan information from active systems within 60 days, or sooner where applicable law requires. Limited records may remain for lawful retention, security, fraud prevention, dispute resolution, or routine backup deletion. Our Privacy Policy explains those exceptions. Provider records may remain for the periods described in Section 5.

Deletion may be irreversible. It does not automatically remove original photographs from your device or copies already shared with others. You are responsible for removing local copies you no longer want. Provisions concerning accrued payment obligations, ownership, permitted retention, disclaimers, liability, indemnification, and disputes survive to the extent needed to give them effect.

14. App Store terms

For Apple downloads, this agreement is with us, not Apple. We are responsible for the app, its content, required support, applicable warranties, and claims concerning product liability, legal compliance, privacy, consumer protection, and intellectual property infringement. We handle investigation, defense, settlement, and discharge of app infringement claims. Apple has no support obligation.

Your license covers Apple devices you own or control under Apple's usage rules, including permitted Family Sharing or volume purchasing. If the app fails an applicable warranty, you may notify Apple for a refund of its purchase price. Apple has no further warranty responsibility to the extent law permits; remaining responsibility rests with us.

You represent that you are not in a U.S.-embargoed or U.S.-designated terrorist-supporting country or on a U.S. restricted-party list. Apple and its subsidiaries may enforce this agreement as third-party beneficiaries. Direct app questions and claims to our contact details in Section 18.

For other stores, applicable store terms govern distribution and purchases. Store rules prevail for a conflict about store-controlled billing or permitted distribution. Nothing in this section reduces mandatory legal rights.

15. Governing law

New York law governs these Terms, excluding conflict-of-law rules, and the Federal Arbitration Act governs Section 16. Mandatory protections under the law of your residence continue to apply where they cannot lawfully be waived.

Subject to Section 16 and any mandatory right to another forum, court proceedings belong in the state or federal courts located in or serving Suffolk County, New York. Each party consents to those courts' jurisdiction. This does not displace a permitted small claims proceeding or a consumer's nonwaivable right to sue in their home jurisdiction.

16. Dispute resolution and arbitration

Informal resolution

Before starting a claim, send us a written notice at the email or postal address in Section 18 identifying you, any account involved, the facts, and the relief requested. We will send our notice to the contact information you provided. Both parties will attempt in good faith to resolve the dispute for 30 days after receipt. Applicable filing deadlines are paused during that period to the extent law permits. Either party may take action needed to preserve a deadline or obtain urgent protective relief without first completing this process.

Agreement to arbitrate

Except as stated below, you and we agree to resolve disputes arising from these Terms or the Service through binding individual arbitration administered by the American Arbitration Association under its applicable Consumer Arbitration Rules. This is a mutual obligation. Arbitration replaces a judge or jury trial for covered claims, and court review of an award is limited.

The rules and filing instructions are available at AAA Consumer Arbitration Rules and fees. One neutral arbitrator will hear the dispute. Hearings may occur remotely or in a location reasonably convenient to you under the rules. The arbitrator may award the relief available to an individual in court, including statutory remedies and attorneys' fees where authorized, and must give a reasoned written decision. A court with jurisdiction may enforce the award.

Fees are allocated under the applicable AAA consumer schedule and law. We will pay the fees assigned to the business. You may seek any available fee waiver. If your required arbitration filing fee would exceed the fee to file the same claim in your local court, we will pay the difference. We will not seek to shift our arbitration costs to you except where applicable law and the rules permit an award for a frivolous or bad-faith claim.

Exceptions and court decisions

Either party may use a small claims court for an eligible individual claim that remains there. You may report concerns to regulators or government agencies. Claims that law makes nonarbitrable remain in court. Nothing restricts a right to seek public injunctive relief that cannot lawfully be waived; a court will decide such a request if it cannot be heard in arbitration.

A court, rather than the arbitrator, will decide disputes about the formation, enforceability, or scope of this arbitration agreement, including the class waiver. If AAA cannot administer a case, the parties may agree on another qualified provider. Without agreement, either party may proceed in a court with jurisdiction. We will not invoke arbitration to prevent a court claim if our failure to pay required fees or meet AAA requirements caused arbitration to be unavailable.

Individual proceedings

TO THE EXTENT PERMITTED BY LAW, CLAIMS SUBJECT TO ARBITRATION MUST PROCEED INDIVIDUALLY, NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE ARBITRATION. AN ARBITRATOR MAY NOT COMBINE DIFFERENT PEOPLE'S CLAIMS WITHOUT ALL PARTIES' CONSENT. THIS DOES NOT RESTRICT COORDINATION REQUIRED BY APPLICABLE AAA PROCEDURAL RULES OR NONWAIVABLE PUBLIC INJUNCTIVE RELIEF.

If this waiver is unenforceable for a particular claim or form of relief, that claim or relief will proceed in court, and other severable claims remain subject to arbitration. No provision authorizes class arbitration without the written consent of all parties.

Your right to opt out

You may reject this arbitration agreement by emailing support@theclassedit.com within 30 days after first accepting this version of the Terms. Include your name, the email associated with your account if you have one, and a clear statement that you opt out of arbitration. No account is required to opt out. A timely opt-out binds both you and us and does not affect your access to the Service or other Terms. Any valid earlier opt-out remains effective.

Changes to this section will not apply to a dispute for which either party already gave written notice. We will give notice of material changes and obtain any legally required acceptance. You may reject a material change to this section within 30 days of notice; in that event, the previously accepted arbitration agreement, if any, remains applicable.

17. State specific and mandatory rights

Residents of New York, California, and other states retain all nonwaivable consumer protections, including applicable rights concerning automatic renewal, cancellation, refunds, warranties, and unfair or deceptive practices. No provision requires you to waive a statutory remedy that cannot lawfully be waived.

For New Jersey residents, the disclaimers, liability limits, and indemnification obligations apply only to the extent New Jersey law permits. They do not exclude liability for conduct that New Jersey law does not allow a business to disclaim.

State privacy rights, including rights available to eligible California residents, are described in our Privacy Policy. These Terms do not turn statutory privacy requests into contractual disputes or require you to use arbitration before submitting a privacy request or regulatory complaint.

18. Changes and contact

We may revise these Terms prospectively. We will identify the effective date, provide reasonable notice of material changes, and obtain fresh acceptance where required. Continued use establishes acceptance only when permitted by law after adequate notice. Changes do not retroactively remove accrued rights. Section 16 governs changes to arbitration.

These Terms and any purchase or feature terms you separately accept form the agreement concerning your use of the Service. The Privacy Policy and Waitlist Notice describe the processing covered by each. A specific purchase term controls a conflict about that purchase, subject to mandatory law. No general clause in these Terms expands the uses of waitlist data promised in the Waitlist Notice.

If a provision is unenforceable, it will be limited or severed only as necessary, and the remainder will continue, subject to Section 16. Failure to enforce a provision is not a waiver. You may not transfer your agreement or account without our written permission. We may transfer this agreement as part of a merger, reorganization, or sale of the business, provided the successor assumes our obligations and your mandatory rights remain intact. Except as expressly provided for Apple, these Terms do not create rights for third-party beneficiaries.
